Agreement to These Terms
These Terms & Conditions ("Terms") form a binding agreement between you and Alex Denby, doing business as HelperMax AI ("HelperMax AI", "we", "us", or "our"), governing your access to and use of the HelperMax AI website, AI voice receptionist service, client dashboard, and related services (collectively, the "Service").
By accessing the website, entering into a service agreement with us, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that organization.
The Service
HelperMax AI provides an AI-powered voice receptionist that answers inbound calls, handles patient intake, and books appointments on behalf of health clinics and other appointment-based businesses, including by pushing appointments into third-party scheduling software such as Jane App.
The Service is intended for business clients ("Clinics"). It is not a consumer product, an emergency service, or a medical service. The Service does not provide medical advice and is not a substitute for professional clinical judgment or human staff where those are required.
Eligibility
To use the Service as a Clinic, you must be a business operating lawfully in your jurisdiction, be at least the age of majority in your province or territory, and be capable of forming a binding contract. The Service is intended for use by clinics operating in Canada and is configured for compliance with Canadian privacy law.
Accounts & Access
Access to the client dashboard and Service may require account credentials. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. You must notify us promptly of any unauthorized use or suspected security breach. We are not liable for any loss arising from your failure to safeguard your credentials.
Client Responsibilities
As a Clinic using the Service, you are responsible for:
- Obtaining all consents required from your patients and callers for the collection, use, and disclosure of their personal information through the Service;
- Complying with all laws applicable to your practice, including privacy, health-information, and professional-regulatory requirements;
- Providing accurate and complete information used to configure the Service (such as services, pricing, hours, availability, and booking rules);
- Reviewing bookings, transcripts, and call records, and correcting any errors in your scheduling system;
- Maintaining appropriate human coverage for matters that require clinical judgment, urgent attention, or emergencies.
You acknowledge that you, not HelperMax AI, are the party responsible to your patients for the care and services your clinic provides.
Acceptable Use
You agree not to, and not to permit others to:
- Use the Service for any unlawful, fraudulent, or harmful purpose;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems;
- Reverse engineer, copy, resell, or sublicense the Service except as expressly permitted;
- Use the Service to handle calls or data for which you have not obtained the necessary rights or consents;
- Misrepresent the Service or use it in a way that could damage the reputation of HelperMax AI.
Third-Party Services
The Service integrates with and relies on third-party platforms, including but not limited to Jane App, telephony providers, and CRM/automation tools. We do not control these third parties, are not responsible for their availability, performance, or practices, and their use may be governed by their own terms and privacy policies. Interruptions or errors in a third-party service may affect the Service, and we are not liable for those third parties' acts or omissions.
Fees & Payment
Fees for the Service are set out in your service agreement or order. Unless otherwise stated, fees are quoted in Canadian dollars, are exclusive of applicable taxes, and are billed on a recurring basis. Late or failed payments may result in suspension or termination of the Service. Except where required by law or expressly agreed, fees are non-refundable.
Intellectual Property
The Service, including all software, voice agent designs, content, branding, the "HelperMax AI" name and logo, and all related intellectual property, is owned by HelperMax AI and its licensors and is protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, solely for your internal business purposes. No other rights are granted. You retain ownership of the data and content you provide to us, and you grant us the rights necessary to use that data to operate and provide the Service.
Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind. HelperMax AI uses automated, AI-based systems that may make mistakes. It is not a substitute for human judgment, professional or medical advice, or emergency services.
To the fullest extent permitted by law, HelperMax AI disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will book every appointment correctly, answer every call, or be free of inaccuracies. AI voice systems can mishear, misinterpret, or incorrectly handle a call or booking. You are responsible for verifying bookings and maintaining appropriate human oversight.
Not medical or professional advice. The Service does not provide medical, clinical, legal, or other professional advice, and nothing generated by the AI should be relied upon as such. The Service is not designed for emergencies. Callers experiencing a medical emergency should call 911 or their local emergency number.
Any figures, statistics, testimonials, or example results shown on our website are for illustration only and are not a guarantee of any particular outcome, revenue, or performance.
Limitation of Liability
To the fullest extent permitted by law, HelperMax AI and its operator, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service will not exceed the total fees you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Indemnification
You agree to indemnify and hold harmless HelperMax AI and its operator from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party, including your patients; or (d) your failure to obtain required consents from callers or patients.
Term & Termination
These Terms apply for as long as you use the Service. Either party may terminate the service relationship in accordance with the applicable service agreement. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal or security risk. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia, Canada for any dispute arising out of or relating to these Terms or the Service, subject to any non-waivable rights you may have under applicable consumer or business protection law.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the current version at www.helpermaxai.com/terms. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
